Terms of Service

Welcome to Happi Social! These Terms of Service ("Terms") govern your access to and use of the Happi Social platform, mobile applications, API, and associated web services (the "Services"), which are owned and operated by OrgAtlas ("we", "us", or "our").

By creating an account, logging into our platform, or accessing our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Account Registration and Security

To access certain features of Happi Social, you must create a user account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your credentials (including your password).
  • Promptly update your account settings if your contact information changes.
  • Accept full responsibility for all activities that occur under your account.

2. Permitted Use and Restrictions

Happi Social is designed to facilitate real-world friendships and social events. You agree not to abuse the system. Specifically, you agree not to:

  • Use the Services for any illegal purpose or in violation of local, state, national, or international laws.
  • Harass, threaten, stalk, or abuse any other user of the platform.
  • Send spam, unsolicited advertisements, or commercial promotions to other users or circles.
  • Impersonate another person, create fake accounts, or establish accounts under false pretenses.
  • Attempt to reverse engineer, scrape, or extract source code from the Happi Social platform or database.
  • Interfere with or disrupt the operation of servers, networks, or the Twilio, AWS SES, or DigitalOcean API connectors.

3. Intellectual Property Rights

The Happi Social interface, logo, designs, database systems, backend architecture, and all content created by us are the exclusive property of OrgAtlas and our licensors, protected by copyright, trademark, and other intellectual property laws. Your use of the Services grants you a limited, non-exclusive, non-transferable license to access the platform for personal, non-commercial use, which may be revoked at any time.

4. Offline Interactions & Release of Liability

IMPORTANT NOTICE REGARDING OFFLINE MEETUPS: Happi Social helps friends coordinate events and visit physical venues. OrgAtlas is not responsible for your conduct, or the conduct of any other user, during any offline interactions or physical events. You assume all risks associated with meeting or interacting with other individuals in the real world. OrgAtlas disclaims all liability for injuries, losses, damages, or disputes arising from real-world meetups arranged through the Services.

5. Termination of Services

We reserve the right, without notice and at our sole discretion, to suspend or terminate your account and block your access to the Services if we determine that you have violated these Terms, engaged in behavior harmful to other users, or posed a security risk to OrgAtlas.

6. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without any warranties of any kind, whether express or implied. OrgAtlas does not guarantee that the Services will always be secure, error-free, uninterrupted, or that user data will never be lost.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall OrgAtlas, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use of or inability to use the Services.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Western Australia, Australia, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the courts located in Perth, Western Australia.
